Terms and Conditions
Cyber Advocate and Cyber Pathways
1. Confidentiality
Both parties agree to keep all non-public, proprietary, or sensitive information received during this engagement confidential and to use it solely for the purpose of fulfilling their obligations under this agreement.
Confidential information will not be disclosed to any third party without prior written consent, except as required by law. These obligations do not apply to information that is publicly available, independently developed, rightfully received from a third party, or legally compelled to be disclosed.

2. Cybersecurity Risk Disclaimer
Client acknowledges that cybersecurity threats are continually evolving, and while Elevate Cyber Solutions will provide reasonable and professional services, no guarantee is made that all vulnerabilities will be identified or that incidents will be prevented. Elevate Cyber Solutions shall not be liable for cybersecurity incidents, data loss, breaches, or compliance violations resulting from actions, omissions, or decisions made by the Client or third parties.

3. Intellectual Property
All deliverables, reports, and documentation prepared by Elevate Cyber Solutions specifically for Client shall become the property of the Client upon full payment.
Elevate Cyber Solutions retains ownership of all pre-existing materials, templates, methodologies, and tools used to perform the Services.
4. Limitation of Liability​
Elevate Cyber Solutions’s total aggregate liability for any and all claims under this Agreement shall not exceed the total fees paid by Client in the twelve (12) months preceding the event giving rise to the claim.
Under no circumstances shall Elevate Cyber Solutions be liable for indirect, incidental, special, or consequential damages, including loss of profits, business interruption, or reputational harm.

5. Force Majeure
Neither party shall be liable for failure or delay in performing its obligations under this Agreement if such failure or delay is due to causes beyond its reasonable control, including natural disasters, acts of government, war, cyberattacks, or utility outages.

6. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Iowa, without regard to its conflict of law rules.
The parties agree to attempt to resolve disputes in good faith. If resolution cannot be reached within thirty (30) days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

7. Amendments and Notices
Elevate Cyber Solutions may amend these Terms with thirty (30) days’ written notice. Continued use of the Services after notice constitutes acceptance of the revised Terms.

8. Assumptions & Responsibilities

Client agrees to provide timely access to necessary personnel, systems, and documentation.

Elevate Cyber Solutions will conduct work remotely unless otherwise agreed.

Elevate Cyber Solutions will perform services in a professional manner consistent with industry practices.

9. Extension or Renewal
This Agreement is automatically extended each month. Either party may terminate their agreement via writing or through the subscription portal.

10. Entire Agreement
These Terms, together with any signed service agreements or statements of work, represent the complete and exclusive understanding between the parties regarding the Services and supersede all prior discussions or agreements.
